    Terms of Service

    Effective date: September 17, 2026Last updated: September 17, 2026

These terms of service ("Terms") are a binding agreement between you and Synergy Buyers LLC, doing business as VirtuCore ("VirtuCore," "we," "us," or "our"). They govern your use of virtucore.io, its subdomains, our funnels and landing pages, the VirtuCore platform, and any related products, communications, and services (together, the "Services").

By accessing the Services, creating an account, submitting a form, or clicking to accept, you agree to these Terms and to our privacy policy. If you are accepting for a business, you confirm you have authority to bind that business, and "you" means that business. If you do not agree, do not use the Services.

Please read section 18 carefully. It requires individual arbitration and waives class actions and jury trials.

    1. The services

VirtuCore provides marketing automation software and related services for small businesses, including contact management, SMS, email, and voice messaging, AI assistants, pipelines, scheduling, reputation tools, funnels, and managed or done-for-you setup. The platform is offered under the VirtuCore brand and is delivered in part through third-party infrastructure and technology providers. We may add, change, or remove features at any time, and we will give reasonable notice of changes that materially reduce core functionality of a paid plan.

If you sign a separate order form, proposal, or service agreement with us, that document controls wherever it conflicts with these Terms.

    2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You agree to provide accurate information, keep it current, protect your login credentials, and accept responsibility for all activity under your account, including activity by your team members and contractors. Notify us immediately at support@virtucore.io if you suspect unauthorized access.

    3. Subscriptions, fees, and billing

Plans. Paid Services are billed in advance on a recurring basis (monthly or annually) at the rate shown at checkout or in your order form.

Auto-renewal. Subscriptions renew automatically for successive periods of the same length until canceled. You authorize us to charge your payment method on file for each renewal.

Usage charges. SMS and MMS segments, phone minutes, phone numbers, email sends, AI usage, carrier and registration fees, and similar metered items are billed in addition to your plan, at the rates shown in your account. You are responsible for carrier surcharges and messaging registration fees tied to your campaigns.

Setup and service fees. One-time setup, onboarding, and done-for-you fees are earned when work begins and are non-refundable unless your order form says otherwise.

Cancellation. You may cancel at any time from your account or by emailing support@virtucore.io. Cancellation takes effect at the end of the current billing period. We do not provide refunds or credits for partial periods or unused usage balances, except where required by law or under a written guarantee in your order form.

Guarantees. Any money-back or performance guarantee applies only as written in your order form or the offer page where you purchased, including its conditions.

Failed payments. If a charge fails, we may retry it, suspend the Services, and charge a reasonable late fee or interest at the lesser of 1.5% per month or the legal maximum.

Price changes. We may change prices with at least 30 days notice. Changes apply at your next renewal.

Taxes. Fees exclude taxes. You are responsible for all applicable sales, use, and similar taxes.

Chargebacks. Contact us before disputing a charge. Accounts with open chargebacks may be suspended.

    4. Your messaging compliance responsibilities

You are the sender of every call, text, and email sent from your account. VirtuCore provides the tools. You are solely responsible for using them lawfully. You agree to:

    • Comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the CAN-SPAM Act, state telemarketing and mini-TCPA laws, do not call rules, the CTIA Messaging Principles and Best Practices, and all carrier and registry requirements.
    • Obtain and keep records of the required consent before contacting anyone, including prior express written consent for marketing texts and autodialed or prerecorded calls.
    • Complete accurate A2P 10DLC brand and campaign registration (or toll-free verification) before sending SMS, and send only content that matches your registered use case.
    • Clearly identify your business in messages, include opt-out instructions, and honor STOP, unsubscribe, and do not call requests promptly.
    • Respect quiet hours and calling-time restrictions in the recipient's location.
    • Never upload purchased, rented, scraped, or shared lists for texting, and never share or sell opt-in data.
    • Never send prohibited content, including SHAFT content (sex, hate, alcohol, firearms, tobacco, and cannabis or CBD where restricted), illegal substances, gambling where prohibited, high-risk financial offers, third-party lead generation, phishing, or deceptive content.
    • Maintain your own privacy policy and terms that meet carrier requirements.

Carriers and registries make the final decision on registration approval, throughput, filtering, and blocking. We do not guarantee approval or deliverability. We may monitor traffic for compliance and may throttle, suspend, or terminate messaging that we or our providers believe violates these rules, without liability to you.

    5. Acceptable use

You will not, and will not allow others to:

    • Violate any law or third-party right, or send spam, harassment, or fraudulent content.
    • Reverse engineer, copy, scrape, or build a competing product from the Services.
    • Resell, sublicense, or white-label the Services without our written agreement.
    • Bypass usage limits, security controls, or access restrictions.
    • Upload malware or interfere with the integrity or performance of the Services.
    • Store or transmit protected health information, payment card numbers, government ID numbers, or other sensitive data unless we have agreed in writing and the required agreements are in place.
    • Use the Services for emergency communications.

    6. Customer data

You keep all rights to the contacts, content, and other data you or your users submit to the Services ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data as needed to provide and support the Services, prevent abuse, and comply with law. You confirm that you have all rights and consents needed to provide Customer Data to us and to contact the people in it.

We process Customer Data as your service provider, only on your instructions and as described in our privacy policy. We maintain reasonable safeguards designed to protect it, and we will notify you without undue delay if we confirm unauthorized access to your Customer Data. We may use aggregated, de-identified data to operate and improve the Services. A data processing addendum is available on request.

You are responsible for keeping your own backups and for exporting Customer Data before your subscription ends.

    7. AI features

The Services include AI-powered tools that generate messages, responses, and content. AI output may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing, configuring, and supervising AI features, for the prompts and knowledge you provide, and for everything sent to your contacts. Where the law requires it, you must disclose to your contacts that they are interacting with an automated system. AI output is not legal, financial, or professional advice.

    8. Intellectual property

The Services, including software, designs, templates, workflows, snapshots, course materials, and the VirtuCore name and logo, belong to VirtuCore and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. Templates and workflows we provide may be used inside your account but may not be resold or distributed. If you send feedback, you grant us the right to use it without restriction or payment.

    9. Third-party services

The Services rely on and integrate with third-party providers, such as hosting, telephony, email delivery, payment, advertising, calendar, and AI providers. Your use of third-party integrations is governed by their terms. We are not responsible for third-party services, their outages, or their policy changes, including carrier filtering or account actions by advertising platforms.

    10. VirtuCore SMS terms (messages we send to you)

This section covers text messages sent by VirtuCore itself.

Program name: VirtuCore alerts and updates.

Program description: when you opt in through a form on our site, a funnel, or by texting us, you may receive conversational replies to your inquiry, appointment and demo reminders, account, billing, and onboarding notifications, and, if you separately consented, marketing and promotional messages about VirtuCore products.

    • Consent: consent to receive text messages is not a condition of purchasing any goods or services. Marketing consent is collected separately from consent for informational messages.
    • Message frequency: message frequency varies based on your activity and interaction with us.
    • Cost: message and data rates may apply, depending on your mobile plan.
    • Opt out: reply STOP to any message at any time. You will receive one confirmation message and no further texts unless you opt in again.
    • Help: reply HELP to any message, email support@virtucore.io, or call 458-227-1234.
    • Carriers: carriers are not liable for delayed or undelivered messages.
    • Eligibility: you must be 18 or older and the authorized user of the mobile number you provide. Tell us if your number changes.
    • Privacy: mobile information and text messaging opt-in data and consent are never shared with or sold to third parties or affiliates for marketing or promotional purposes. See our privacy policy.

    11. Confidentiality

Each party will protect the other's non-public business, technical, and pricing information with reasonable care, use it only to perform under these Terms, and disclose it only to those who need to know and are bound by similar duties, or as required by law.

    12. No guarantee of results

Marketing outcomes depend on many factors outside our control, including your offer, market, budget, follow-up, and staff. Any case studies, projections, or examples are illustrative only. We do not guarantee leads, appointments, revenue, rankings, reviews, or any specific result unless expressly stated in a written guarantee in your order form.

    13. Disclaimer of warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, VirtuCore disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error free, or secure, or that messages will be delivered.

    14. Limitation of liability

To the fullest extent permitted by law, VirtuCore and its owners, employees, contractors, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Our total liability for all claims relating to the Services will not exceed the amounts you paid us in the three months before the event giving rise to the claim. These limits apply to every theory of liability and form an essential basis of the bargain. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

    15. Indemnification

You will defend, indemnify, and hold harmless VirtuCore, Synergy Buyers LLC, and their owners, employees, contractors, and providers from any claims, damages, fines, penalties, and costs, including reasonable attorney fees, arising from: (a) your messages, calls, emails, campaigns, or content; (b) any alleged violation of the TCPA, CAN-SPAM, do not call rules, state telemarketing laws, or carrier requirements in connection with your account; (c) your Customer Data or your lack of required consents; (d) your products, services, or dealings with your own customers; or (e) your breach of these Terms.

    16. Term, suspension, and termination

These Terms apply for as long as you use the Services. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, create legal or deliverability risk for us or other customers, or if a carrier, registry, or provider requires it. You may terminate by canceling your subscription.

On termination, your right to use the Services ends, all unpaid fees become due, and phone numbers assigned to your account may be released unless ported out beforehand. We will make Customer Data available for export for 30 days after termination on request, provided your account is in good standing, and may delete it afterward. Sections that by their nature should survive will survive, including sections 3, 4, 6, 8, and 11 through 19.

    17. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law rules. Subject to section 18, the state and federal courts located in North Carolina have exclusive jurisdiction, and you consent to venue there.

    18. Dispute resolution and arbitration

Informal resolution first. Before filing a claim, each party agrees to send written notice of the dispute to the other (to support@virtucore.io for us) and to try in good faith to resolve it for 30 days.

Binding arbitration. Any dispute not resolved informally will be decided by binding individual arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, seated in North Carolina or held remotely. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.

Class action and jury waiver. Claims may be brought only on an individual basis. You and VirtuCore waive any right to a jury trial and to participate in a class, collective, or representative action.

Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court to protect intellectual property or confidential information. We may pursue collection of unpaid fees in court.

Opt out. You may opt out of arbitration by emailing support@virtucore.io within 30 days of first accepting these Terms, with your name, business name, and a statement that you opt out.

    19. General terms

Changes. We may update these Terms. We will post the new version with an updated date and give notice of material changes. Continued use after the effective date means you accept the changes.

Entire agreement. These Terms, the privacy policy, and any order form or service agreement are the entire agreement between us on this subject.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Independent parties. Nothing here creates a partnership, agency, or employment relationship.

Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including carrier, network, or provider outages.

Severability and waiver. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.

Notices. We may send notices to the email on your account. Send legal notices to us at the contact details below.

Electronic communications. You consent to receive agreements and notices electronically.
